What is N-PX?
Annual proxy voting report for covered funds and certain institutional managers. A typical production assignment may involve proxy voting records, security identifiers, meeting dates and votes. The registrant, counsel or authorized filing agent decides whether this submission is appropriate, what disclosures are required and who approves the filing.
At a glance
Work to review: proxy voting records, security identifiers, meeting dates and votes.
Key checks: meeting and issuer identifiers, voting matters, vote details and reporting period.
Which source files can be used?
Excel or CSV can be useful working sources for approved data; identify columns, field definitions, missing values and reconciliations. Word, PDF and existing HTML may provide supporting instructions or attachments, subject to the applicable rules. We can discuss source preparation and document support; structured mapping, validation and filing must be confirmed separately before engagement.
What is the output?
This is a structured-data or form-driven workflow. The relevant EDGAR submission uses form-specific fields or XML; Word or PDF is reference material, not an automatic substitute for those fields. Confirm the current submission type and technical specifications with the authorized filing team.
A spreadsheet is not itself a completed SEC filing. Mapping and validation require a form-specific workflow, current specifications and an authorized reviewer.
N-PX production and quality checks
Start with an approved source and a clear document inventory. For N-PX, pay particular attention to meeting and issuer identifiers, voting matters, vote details and reporting period. Compare the proof with the authorized source; resolve missing material and unclear instructions with the content owner instead of filling gaps by assumption.
- Confirm the exact submission variant, approved reporting period and the required primary document, exhibits or data files.
- Check text, figures, table relationships and references relevant to proxy voting records, security identifiers, meeting dates and votes against the approved source.
- Record authorized revisions, regenerate the proof and check affected content and package references again.
- Have the appropriate specialist review any required structured data, tagging, technical validation and submission messages.
