What is 1-A/DOS?

Regulation A offering statement and non-public draft offering statement. A typical production assignment may involve offering circular, financial statements, exhibits and draft revisions. The registrant, counsel or authorized filing agent decides whether this submission is appropriate, what disclosures are required and who approves the filing.

At a glance

Work to review: offering circular, financial statements, exhibits and draft revisions.

Key checks: the distinction between public 1-A and non-public DOS; confidentiality and version control.

Which source files can be used?

Word to 1-A/DOS: approved Word manuscripts can provide disclosure text and tables for EDGAR-oriented document conversion. Excel to 1-A/DOS: approved spreadsheets can supply tables; reconcile displayed values, signs, units and footnotes. HTML to 1-A/DOS: existing HTML can be reviewed and reworked. PDF to 1-A/DOS: searchable PDFs may be reconstructed; scans need OCR and extra source-to-proof review. These are source-material workflows, not a one-click conversion into a complete SEC form.

What is the output?

For suitable document components, the requested output may be EDGAR HTML or ASCII. The actual accepted formats, attachments and any Inline XBRL or other structured-data requirements depend on the submission type and current SEC rules. Conversion is not the same as preparing the legal filing or transmitting it.

Required iXBRL tagging, structured filing data, legal review and authorized submission are separate from visual HTML conversion and must be specifically scoped. 1-A and DOS are different submission types; DOS is a non-public draft. Confirm the exact route and confidentiality controls before any work.

1-A/DOS production and quality checks

Start with an approved source and a clear document inventory. For 1-A/DOS, pay particular attention to the distinction between public 1-A and non-public DOS; confidentiality and version control. Compare the proof with the authorized source; resolve missing material and unclear instructions with the content owner instead of filling gaps by assumption.

  • Confirm the exact submission variant, approved reporting period and the required primary document, exhibits or data files.
  • Check text, figures, table relationships and references relevant to offering circular, financial statements, exhibits and draft revisions against the approved source.
  • Record authorized revisions, regenerate the proof and check affected content and package references again.
  • Have the appropriate specialist review any required structured data, tagging, technical validation and submission messages.
